Service name: Prosper Finance (the “Service”)
Operated by: Enbrite LLC (Pennsylvania) (“we,” “us,” “our”), located at Northwest Registered Agent LLC (Attn: Enbrite LLC - Prosper Finance), 502 W 7TH ST, STE 100, ERIE, PA 16502-1333
Short name: “Prosper” is the short name we use to refer to the Service.
These Terms of Service (the “Terms”) govern access to and use of Prosper’s websites, applications, and services (collectively, the “Service”). By creating an account, accessing, or using the Service, you agree to these Terms.
If you are using the Service on behalf of a business or other organization, you represent that you have authority to bind that organization, and “you” includes the organization.
> Important: Prosper helps you organize and understand financial information. Prosper is not a bank, broker, accountant, tax preparer, financial advisor, or law firm, and we do not provide accounting, tax, legal, or financial advice. See Section 13.
1) Eligibility; US-only
1.1 Age. You must be at least 18 years old and able to form a binding contract to use the Service.
1.2 US-only. The Service is offered for use in the United States. You agree not to use the Service where prohibited by law.
1.3 Sanctions and restricted parties. You may not use the Service if you are subject to US sanctions or are otherwise restricted from receiving services under applicable law.
2) Your account; security
2.1 Account registration. You must provide accurate information and keep it current.
2.2 Credentials. You are responsible for safeguarding your login credentials and for all activities under your account.
2.3 Unauthorized use. Notify us promptly at support@prosperfinance.app if you believe your account has been compromised.
2.4 Team/workspace accounts. If the Service supports workspaces or multi-user access, the account owner/admin is responsible for managing permissions and activity for users associated with that workspace.
3) The Service: what we do (and don’t do)
3.1 Core functionality. Prosper may allow you to connect financial accounts, import transactions, categorize and organize records, generate reports, and use AI-assisted features.
3.2 No guarantee of completeness. Financial institutions and third-party providers may delay, restrict, or change how data is made available. Data may be missing, duplicated, delayed, re-labeled, or otherwise inaccurate.
3.3 Your responsibility. You are responsible for verifying your records and reports, and for any decisions you make based on information from the Service.
4) Third-party services (Plaid, banks, Stripe, and others)
4.1 Third-party connections. The Service may integrate with third-party services (for example, Plaid for account connections, financial institutions, and Stripe for payments). Those third parties may have their own terms and privacy practices that apply to your use of their services.
4.2 Plaid and financial data access. If you choose to connect accounts through Plaid or similar providers, you authorize Prosper Finance and Plaid to access, retrieve, and process data from your financial institutions as needed to provide the Service. By using Plaid, you grant Prosper Finance and Plaid the right, power, and authority to act on your behalf to access and transmit your personal and financial information from the relevant financial institution. Plaid’s use of your information is governed by the Plaid End User Privacy Policy (https://plaid.com/legal/#end-user-privacy-policy).
4.3 We’re not responsible for third parties. We do not control third-party services and are not responsible for their availability, security, accuracy, or actions. Your use of third-party services is at your own risk, subject to your rights under applicable law.
5) Acceptable Use Policy
You agree not to (and not to help others to):
5.1 Break the law or violate rights. Use the Service to violate any law, regulation, or third-party rights (including privacy or intellectual property rights).
5.2 Security and abuse. Probe, scan, test, or breach any security measures; interfere with the Service; introduce malware; or circumvent access controls.
5.3 Misuse data. Access or attempt to access data not intended for you; scrape or harvest data except as expressly permitted; or re-identify anonymized data.
5.4 Reverse engineer. Reverse engineer, decompile, or attempt to discover source code or underlying models except to the extent prohibited by law.
5.5 Prohibited content. Upload or transmit content that is unlawful, deceptive, infringing, harassing, or otherwise harmful.
5.6 Competitive misuse. Use the Service to build or benchmark a competing product, or to train a competing model, except as expressly permitted in writing.
5.7 AI misuse. Use AI features to generate or automate unlawful, deceptive, or harmful activity, or to make decisions you are not legally permitted to automate.
We may suspend or terminate access for violations (see Section 16).
6) Customer Data; User Content; Feedback
6.1 Your data. “Customer Data” means information you (or your connected accounts) provide to the Service, including transaction data, merchant details, memos, categorization, invoices (if applicable), and other records.
6.2 Rights you grant us. You grant Prosper a worldwide, non-exclusive license to host, copy, transmit, display, and process Customer Data only as necessary to provide, maintain, secure, and improve the Service, and as otherwise described in our Privacy Policy.
6.3 Your responsibilities. You represent you have rights to provide Customer Data to Prosper and that doing so doesn’t violate law or third-party agreements.
6.4 Feedback. If you provide suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free right to use it without restriction or compensation.
7) Privacy
Our Privacy Policy at /privacy describes how we collect, use, and share information, including disclosures relevant to US state privacy laws (including California). The Privacy Policy is incorporated into these Terms by reference.
8) Plans, trials, and fees (may be free)
8.1 Free and paid plans. We may offer free and/or paid plans. Plan features may differ by tier and may change over time.
8.2 Trials and betas. Trials and beta features may have limitations and may be modified or discontinued at any time (see Section 12).
9) Payments and billing (Stripe) — REMOVABLE IF BILLING NOT LIVE
> If Prosper does not offer paid plans at the time you use the Service, this Section 9 does not apply. > To remove cleanly: delete this entire Section 9 and renumber.
9.1 Payment processor. Payments are processed through Stripe. We do not store full payment card numbers; Stripe may store and process your payment information according to its terms and privacy practices.
9.2 Authorization. By providing a payment method, you authorize us (and Stripe) to charge the payment method for fees, applicable taxes, and other amounts you owe under your selected plan.
9.3 Billing cycle; auto-renewal. Subscriptions, if offered, renew automatically at the end of each billing period unless you cancel before renewal. Cancellation takes effect at the end of the current paid period unless otherwise stated at checkout.
9.4 Taxes. Fees may be exclusive of sales, use, VAT, GST, or similar taxes, which may be added where required. You are responsible for all taxes associated with your purchase except taxes on our net income.
9.5 Price changes. We may change prices with prior notice. Changes apply at the next renewal or as otherwise described at the time of change.
9.6 Refunds. Unless required by law or expressly stated in writing, fees are non-refundable.
9.7 Chargebacks and failed payments. If a charge is reversed or a payment fails, we may suspend or downgrade your access until payment is resolved.
10) Intellectual property
10.1 Our IP. The Service, including software, design, text, graphics, logos, and underlying technology, is owned by Prosper or its licensors and is protected by intellectual property laws.
10.2 License to you. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal use.
10.3 Restrictions. Except as expressly allowed, you may not copy, modify, distribute, sell, lease, or create derivative works of the Service.
10.4 Trademarks. “Prosper” and related marks are our trademarks. You may not use our marks without permission.
12) Beta features; AI features; and AI limitations
12.1 Beta features. We may label some features “beta,” “preview,” “experimental,” or similar (“Beta Features”). Beta Features may be unstable, incomplete, or change without notice, and may be discontinued.
12.2 AI features. Some Service features may use automated systems and/or artificial intelligence (“AI Features”), including for categorization suggestions, explanations, summaries, and assistance.
12.3 AI output may be wrong. AI Features can produce output that is inaccurate, incomplete, outdated, misleading, or inappropriate. You must independently review and verify AI output before relying on it for bookkeeping, taxes, compliance, or decision-making.
12.4 No professional judgment. AI Features do not replace professional judgment. Outputs are informational and may not reflect current law, IRS guidance, GAAP, or your specific circumstances.
12.5 Your inputs. You are responsible for the content you provide to AI Features and for ensuring you have rights to submit it.
12.6 Safety and prohibited uses. You may not use AI Features to generate or facilitate unlawful, deceptive, or harmful activity, or to make decisions that must legally be made or reviewed by a licensed professional.
12.7 Model/provider limitations. AI Features may be provided by third-party model providers. Availability, latency, and results may vary.
12.8 Training and improvement (toggle). Prosper may improve its internal categorization systems (including machine-learning models) using aggregated or de-identified information derived from confirmed categorizations (for example, cleaned merchant/description text and category labels), consistent with our Privacy Policy.
If Prosper uses third-party AI Vendors for certain AI Features, their retention and handling practices vary by vendor/configuration. (Counsel: confirm and align to actual practice.)
For clarity: Prosper may not offer an opt-out for internal model improvement using aggregated or de-identified information. Optional AI Features may have separate controls (enable/disable) in the Service.
13) Disclaimers: no accounting/tax/legal/financial advice; no warranties
13.1 No advice. Prosper and the Service provide tools and information to help you organize and understand financial records. WE DO NOT PROVIDE ACCOUNTING, TAX, LEGAL, OR FINANCIAL ADVICE, AND WE ARE NOT ACTING AS YOUR ACCOUNTANT, TAX PREPARER, ATTORNEY, OR FINANCIAL ADVISOR. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND VERIFYING ALL DATA, INCLUDING AI OUTPUTS, BEFORE USING IT FOR TAX, LEGAL, OR FINANCIAL PURPOSES. You should consult qualified professionals for advice specific to your circumstances.
13.2 Not a financial institution. Prosper is not a bank or money transmitter, and the Service does not provide banking services.
13.3 As-is. THE SERVICE (INCLUDING BETA FEATURES AND AI FEATURES) IS PROVIDED “AS IS” AND “AS AVAILABLE.”
13.4 No warranties. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
13.5 No guarantee of results. We do not warrant that the Service will be uninterrupted, secure, error-free, or that reports or categorizations will be correct.
14) Limitation of liability
14.1 Exclusion of damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROSPER AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.
14.2 Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO PROSPER FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100.
14.3 Basis of bargain. These limitations are part of the bargain between you and Prosper.
14.4 Exceptions. Some jurisdictions do not allow certain limitations; these Terms apply to the fullest extent permitted by applicable law.
15) Indemnification
15.1 By you. You will indemnify, defend, and hold harmless Prosper and its affiliates, directors, officers, employees, and agents from and against any third-party claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
(a) your Customer Data or content;
(b) your use of the Service in violation of these Terms or law; or
(c) your infringement or alleged infringement of a third party’s rights.
15.2 Process. We will notify you of any claim (to the extent permitted) and cooperate reasonably. You may control the defense and settlement unless the settlement imposes liability or obligations on Prosper without our consent.
16) Suspension; termination; account deletion
16.1 Suspension. We may suspend or restrict access immediately if we reasonably believe: (a) you violated these Terms, (b) your use risks harm to the Service, other users, or third parties, or (c) we are required to do so by law.
16.2 Termination by you. You may stop using the Service at any time and may request account deletion as described in the Privacy Policy or within the app settings (if available).
16.3 Termination by us. We may terminate these Terms and your access with notice if you materially breach and fail to cure within a reasonable period (if curable), or immediately for severe or repeated violations.
16.4 Effect of termination. Upon termination, your right to use the Service ends. Sections intended to survive (including 6, 10, 12–15, 16.4, 17–22) will survive.
16.5 Data export (if supported). We may offer export tools. If we do, you should export before closing your account. We are not responsible for data loss after deletion, subject to applicable law.
17) Changes to the Service or Terms
17.1 Service changes. We may modify or discontinue all or part of the Service at any time.
17.2 Terms changes. We may update these Terms. If changes are material, we will provide reasonable notice (for example, by email or in-app notice). Continued use after the effective date of updated Terms constitutes acceptance.
18) Notices; communications
18.1 Notices to you. We may provide notices via email, in-app notifications, or posting within the Service.
18.2 Notices to us. Send legal notices to Northwest Registered Agent LLC (Attn: Enbrite LLC - Prosper Finance), 502 W 7TH ST, STE 100, ERIE, PA 16502-1333 with a copy to legal@prosperfinance.app.
18.3 Support. For support, contact support@prosperfinance.app.
19) Governing law; venue (Pennsylvania)
19.1 Governing law. These Terms and any dispute arising out of or relating to these Terms or the Service are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law rules.
19.2 Venue. Except as provided in Section 20 (if enabled), you and Prosper agree that any dispute will be brought exclusively in the state or federal courts located in Pennsylvania, and you consent to personal jurisdiction and venue in those courts. (Counsel: specify county/court if desired.)
19.3 Injunctive relief. Nothing prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction to stop unauthorized use or infringement.
21) Miscellaneous
21.1 Entire agreement. These Terms (and any incorporated policies, including the Privacy Policy) are the entire agreement between you and Prosper regarding the Service.
21.2 Assignment. You may not assign these Terms without our consent. We may assign these Terms as part of a merger, acquisition, or asset sale.
21.3 Severability. If any provision is unenforceable, the remaining provisions remain in effect.
21.4 Waiver. Failure to enforce a provision is not a waiver.
21.5 Force majeure. Neither party is liable for delays or failures due to events beyond reasonable control.
21.6 Headings. Headings are for convenience and do not affect interpretation.
