AICPA rule 1.520 (Commissions and Referral Fees) permits a CPA to accept a referral fee only for clients who receive no attest services from the CPA, and only with disclosure to the client in writing. In this program the disclosure is signed and dated by the client before you recommend the service. We provide the template. Your state board may add conditions or prohibit fees outright; we do not offer a fee in a state until we have confirmed its rules. The Prosper code itself carries no payment, so it can be shared with any client.

Owners with no accountant, routed to you
When a Prosper workspace has no CPA on file and reaches the send-to-accountant step, it is offered partner CPAs licensed in its state. Choosing you saves you as their CPA and invites you to the workspace.
Clients who arrive with the packet built
Every referred workspace produces the same evidence packet: transactions, decisions, receipts, and a manifest. You review the accounting and tax treatment. You do not chase the receipts.
A monthly bookkeeping fee where the state allows it
For clients you refer to TidyMonth, the monthly bookkeeping service, a cash referral fee is paid where your state board permits it, for non-attest clients only, and always disclosed to the client in writing before you recommend it.

The fee, and when it applies.
TidyMonth is the monthly bookkeeping service that runs on Prosper. When you refer a client to it, a cash referral fee is paid on the client's monthly fee, in the states where the board of accountancy permits it. Three conditions, all of them required: the client receives no attest services from you, the client has signed the written disclosure before your recommendation, and your state is on our confirmed list. The terms for your states come with your code. Where a state does not permit a fee, the routing and the code still apply; only the payment does not.

Partner questions
What does the disclosure requirement mean for me?
AICPA Code of Professional Conduct rule 1.520 permits a referral fee only for clients who receive no attest services from you, and only after written disclosure. We supply the disclosure template. You give it to the client, signed and dated, before you recommend the service. State boards can be stricter than the AICPA rule, so the fee is only offered in states where we have confirmed it is permitted.
Does the Prosper code involve any payment to me?
No. The Prosper referral code gives your client 30 days of Pro and gives you visibility into who redeemed it. There is no cash attached to the software referral, so there is nothing to disclose for it. The cash fee applies only to referrals to the bookkeeping service, and only where permitted.
What if I perform an audit or review for the client?
Then no referral fee is paid for that client, in any state. The attest exclusion is absolute in the program, matching rule 1.520. You can still give the client your Prosper code, since no money changes hands for it.
How is the routing decided?
By state. A partner record lists the states you are licensed in. A workspace with a state on file only sees partners licensed there. A workspace with no state on file sees every partner. Within a state, partners are listed in the order they joined.
